License

Ownership of work
Licensor owns all proprietary rights in and to all copyrightable works, generally described as cmsimple-xh-templates, all of which are displayed and viewable at cmsimple-xh-templates (the “Work”), and has the exclusive right to license others to produce, copy, make, or sell the Work.

Regular License
Licensee is granted a non-exclusive, non-transferrable license to use the Work, royalty free, for personal, commercial, and client projects, including web design, ui design, software application and multimedia design. Licensee may not use the Work in projects that it intends to re-sell or distribute.

License Prohibitions
Licensee may not do anything with the Work that is considered by cmsimple-xh-templates.de (acting reasonably) as or under applicable law is considered pornographic, obscene, immoral, infringing, defamatory or libelous in nature, or that would be reasonably likely to bring any person or property reflected in the Work into disrepute. Licensee may not place licensed templates on any website in a complete or archived downloadable format.

Assignment
Licensee may not convey, sublicense, assign, transfer, pledge, hypothecate, encumber or otherwise dispose of this Agreement without the prior written consent of the Licensor.

Indemnification
Licensee shall fully indemnify, defend, and hold harmless Licensor from and against any and all claims, losses, damages, expenses, and liability.

Acknowledgement
You acknowledge that you have read this agreement, understand it prior to agreeing to it. In consideration of cmsimple-xh-templates.de agreeing to provide the Work, you agree to be bound by the Terms and conditions of this agreement. You further agree that it is the complete and exclusive statement of the agreement between You and dotcomwebdesign.com, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and
cmsimple-xh-templates.de relating to the subject of this agreement.
